Talkaado Nigeria Limited, www.talkaado.com and their affiliates will not in any way be liable for the errors of omission and commission of any user relating to infringements of the rights of other users and the general public.

While the comments on the Talkaado.com platform or affiliates will not be moderated but the following rules shall be observed by the users.

Users could be blocked and denied access if these instructions are violated.

The rules and our privacy policy shall govern all activities in our TALKAADO chat room and the site generally. In using this chat room and site, you agree to be bound by the following rules of civility and guidelines:

1. Registration Obligations

In consideration of your use of TALKAADO, you agree to:

a) Provide true, accurate, current and complete information about yourself when filling out our registration form.

b) Maintain and promptly update our registration information to keep it true, accurate, current and complete. If there are reasonable grounds to suspect that an information is untrue, inaccurate, not current, calculated to mislead other users or incomplete, we have the right to suspend or terminate your registration on our site, TALKAADO.

c) Your screen name will be used to identify you in our chat area. Vulgar or offensive names will constitute a breach of these rules.

2. Privacy Policy

Details provided by you and certain other information about you are subject to our privacy policy.

3. Online Conduct

a) Please note that all data, text, software, music, sound, photographs, graphics, videos, messages or other contents posted publicly or otherwise, privately transmitted are the sole responsibility of the user/ person from whom the content originated. In essence, you are totally responsible for all the content you upload, mail or message through our site. We do not control uploaded content and do not guarantee its integrity, quality and accuracy.

b) We will not be liable under any circumstance for any content, errors, omissions and infractions, loss or damage of any kind incurred as a result of usage of any content. You agree you shall evaluate and bear all risks and liabilities associated with your use or publishing of any content or and materials; and be responsible and liable for the reliability, accuracy and completeness of such content or materials posted on Talkaado and affiliate bodies.

c) You agree not to use TALKAADO or any part of our site to e-mail, upload, post or publish any content that is libellous, unlawful, threatening, harassing, defamatory, offensive, invasive, spiteful, hateful, inciting, racial, ethnic, obscene or objectionable.

d) Collect, store or post personal data about other users with their written permission.

e) Impersonate any other user's identity, falsely state or misrepresent our affiliation with a person, organization, entity, or disguise the source of any content.

f) You shall not stalk other users for any reason whatsoever.

g) You shall not upload, post intellectual properties of others, thereby infringing on their intellectual property rights, without obtaining consent.

h) Upload content that contains computer viruses or another computer code, files, programmes designed to interrupt the functionality of any computer hardware, software or telecommunications equipment.

i) Upload content that you do not have the right to transmit under any law or contractual relationship.

j) act in any manner that negatively affects other users ' ability to engage in real time exchanges.

k) disrupt the normal flow of dialogue or cause a screen to scroll faster than other users are able to catch up with in a fraudulent manner.

l) You acknowledge that we do not pre-screen content but shall have the right though not an obligation in our sole discretion to modify or remove contents that violate any applicable national or international law or regulations national and international relating to abuse of children and women, terrorism, money laundering and other financial inappropriateness.

4. License

By registering on our site, TALKAADO, you agree to a worldwide, royalty free, irrevocable, nonexclusive license including the right to sub license to use, publish, reproduce, modify, adapt, distribute, create derivative works, display any content in whole or part, uploaded by you via post or email or to incorporate such content in other works in any form, media or technology now known or to be developed.

5. Indemnity

The User agrees to indemnify TALKADO and hold us and our affiliates, employees, officers, agents or partners harmless from and against any direct or indirect loss, damage including consequential loss, loss of profits, goodwill and business opportunities arising from 3rd party claims in relation to any content you upload, post or email on our chat areas and site; and the use of our site or breach of the applicable guidelines.

6. Sanctions

a) Whenever we notice a breach of the rules (terms and conditions, privacy rules) stated above, we shall take prompt action. If you notice such breaches, please notify us promptly on hello@talkaado.com or by other formal communication addressed to the management of Talkaado Nigeria Limited.

b) We may prohibit, ban or delete any content that we judge harmful to our users, the rights of individuals and our operators, affiliates, licensors and partners and the public in general.

c) We reserve the right to take whatever action deemed necessary to prevent such breaches including the following:

i) Minor breaches may result in the issuance and receipt of a warning from TALKAADO.

ii) Serious breaches may result in automatic ban from our chat room and site.

iii) We will log all activities which result in breaches and may also lead to reporting such activities to the Internet service provider, relevant authorities or seek legal actions against such user(s) or both.

iv) Furthermore, we may remove or modify any content and also take legal action as a result of breaches or suspected breaches of our rules, privacy policy, applicable laws or regulations or where the rights of 3rd parties are threatened.

7. Jurisdiction and Adjudication

On all matters between Talkaado and its users, content owners, staff and partners, all shall come under the exclusive jurisdiction of the courts in Nigeria.
